Mr. Venkat who passed his CA examination of ICAI on 18th July, 2025 and started his practice from August 15, 2025. On 16th August 2025, one female candidate approached him for articleship. In addition to monthly stipend, Mr. Venkat also offered her 0.5% profits of his CA firm. She agreed to take both 0.5% profits of the CA firm and stipend as per the rate prescribed by the ICAI. The Institute of Chartered Accountants of India sent a letter to Mr. Venkat objecting the payment of 0.5% profits. Mr. Venkat replies to the ICAI stating that he is paying 0.5% profits of his firm over and above the stipend to help the articled clerk as the financial position of the articled clerk is very weak. Is Mr. Venkat liable to professional misconduct?
Suggested Answer and Working Notes:
Sharing Fees with an Articled Clerk: As per Clause (2) of Part I of First Schedule to the Chartered Accountants Act 1949, a Chartered Accountant in practice shall be deemed to be guilty of professional misconduct if he pays or allows or agrees to pay or allow, directly or indirectly, any share, commission or brokerage in the fees or profits of his professional business, to any person other than a member of the Institute or a partner or a retired partner or the legal representative of a deceased partner, or a member of any other professional body or with such other persons having such qualification as may be prescribed, for the purpose of rendering such professional services from time to time in or outside India. In view of the above, the objections of the Institute of Chartered Accountants of India, as given in the case, are correct and reply of Mr. Venkat, stating that he is paying 0.5% profits of his firm over and above the stipend to help the articled clerk as the financial position of the articled clerk is very weak is not tenable. Hence, Mr. Venkat is guilty of professional misconduct in terms of Clause (2) of Part I of First Schedule to the Chartered Accountants Act 1949.
