ABC Chemicals Limited (ACL), a Mumbai-based manufacturer, needs to address several critical accounting and regulatory complexities across its operations. For financial reporting, the company is dealing with a commissioned plant that necessitates the re-measurement of its decommissioning liability at year-end due to new environmental regulations, requiring accurate calculation of unwinding of discount and re-measurement adjustments. The period immediately following the year-ending on 31st March 2025 saw several significant post-balance sheet events, including asset destruction by an explosion and the subsequent announcement of a government subsidy for dismantling, demanding proper classification as adjusting or non-adjusting events. In trade compliance, ACL imported the specialized "Chronos X-9" CNC machine from Alpha Robotics (AR), a related party due to stock holdings. Although the transaction value was accepted after verification, the customs valuation process requires the correct computation of all mandated additions and deductions. Internally, ACL must manage its decentralized operations, specifically the high-tax Resin Division (RD) and low-tax Coatings Division (CD). The company uses a negotiated transfer pricing system for the required supply of Polymer P4, which must be analyzed to calculate the minimum acceptable transfer price, and to mitigate the risks of managerial actions aimed at tax shifting between the two divisions. Separately, ACL faces an income tax default for failing to deduct and deposit TDS on professional payments within statutory timelines, necessitating the calculation of the resulting interest liability. The following relevant information is available with respect to ABC Chemicals Limited (ACL) for the Year ending 31st March 2025: 1. On 1 April 2021, the Company commissioned a plant at a cost of 200 crores. In addition, the present value of decommissioning costs of 20 crores was capitalised as part of Property, Plant and Equipment (PPE). The useful life of the plant is 20 years and the residual value of the plant is 5% of the cost. 2. By 31 March 2024, due to unwinding of discount, the carrying amount of the decommissioning liability increased to 25 crores (given). 3. On 15 March 2025, new environmental regulations were introduced. Based on revised estimates, the present value of the decommissioning liability increased to 35 crores. The applicable discount rate is 8%. 4. On 20 March 2025, an explosion destroyed a section of the plant. The carrying amount of the destroyed portion was 30 crores. The insurer has confirmed an admissible claim of 18 crores on 20th April 2025. 5. On 25 April 2025 (after year-end), the Government announced a subsidy of 5 crores for eco-friendly dismantling, effective from 1 July 2025. The Company will qualify for the subsidy. ABC Chemicals Limited sought to import a highly specialized piece of equipment, the "Chronos X-9", CNC machine, from Alpha Robotics (AR) located in Germany. Alpha Robotics (AR) holds 6% of the outstanding voting stock of ABC Chemicals Limited establishing them as related persons for the purposes of customs valuation. The initially declared transaction value (TV) for the machine was €100,000 Free On Board (FOB). Due to this relationship, the proper officer initiated an inquiry under the Customs Act. ACL successfully demonstrated that the declared price closely approximated the deductive value ascertained at the same time for identical goods sold to unrelated buyers in India, leading the proper officer to accept the transaction value. The CIF value provided in the commercial invoice was €108,000, which itemized freight at €6,000 and insurance at €2,000. In addition to the invoice price, ACI. incurred several other related costs. Specifically, ACL paid €5,000 separately to a German design consultancy firm for non-patentable schematic drawings used exclusively in the production of the "Chronos X-9" in Germany, which was not included in the primary invoice price. Furthermore, ACL is required to pay an annual software license fee of €3,000 for the proprietary operating system of the machine, which is a mandatory condition of the sale of the imported goods. A local agent of Alpha Robotics in India, who facilitated the final delivery arrangements, was paid a commission of 80,000 by ACL which is not in the nature of buying commission. The consignment was shipped by air and the aircraft arrived in India on 10th June 2025, when the CBIC notified exchange rate was - 90/€ and the Basic Customs Duty (BCD) was 15%. ABC Chemicals Limited filed the Bill of Entry (B/E) for home consumption on 5th June 2025, on which date the CBIC notified exchange rate was 95/€ and the BCD was 10%. Due to the unique nature of the specialized machinery, ACL decided to aggressively market the capabilities of the "Chronos X-9" to potential domestic customers. ACL subsequently spent - 5,00,000 for pan-India advertising and promotional expenses dedicated solely to promoting the "Chronos X-9" brand post-importation. The proper officer confirmed that these advertising costs were incurred solely on ABC Chemicals Limited's own account and were not required to satisfy any specific obligation of Alpha Robotics under the sale contract. Additionally, due to a delay in processing the unloading documentation, ACI. incurred demurrage charges of 15,000 at the airport, payable to the terminal handling agency. The Integrated Tax rate applicable is 12%, and the Social Welfare Surcharge is 10% on customs duties. The Customs Valuation must incorporate all necessary additions and adhere to statutory limitations. Further, ABC Chemicals Limited has two divisions the Resin Division (RD) located in Country Gamma (corporate tax 40%) and the Coatings Division (CD) in Country Delta (corporate tax 25%). RD manufactures three polymers: P1, P2, and P4, using a common reactor facility that has a total annual capacity of 30,000 machine hours (MH). Each unit of P1 requires 2 MH and earns a contribution of 180 per unit; each unit of P2 requires 3 MH and earns a contribution of 270 per unit. Together these two external products consume the entire 30,000 MH capacity under normal conditions. The variable manufacturing cost per unit of P1 and P2 is 90and 150respectively, and RD incurs a variable selling cost of 10 per unit for external sales. CD manufactures industrial coatings and now requires 4,000 units of a new polymer P4, which RD can also produce internally using the same equipment at 4 MH per unit. If RD transfers internally, the variable cost to make P4 is 150 per unit, and internal transfers avoid 10 per unit selling cost. CD can alternatively buy a substitute compound externally for 400 per unit and will incur an additional 20 per unit modification cost. Management has adopted a negotiated transfer pricing system to preserve divisional autonomy but insists that prices must promote goal congruence. Because RD operates in a high-tax country and CD in a low-tax country, corporate leadership is concerned that managers may try to shift profits via transfer-price negotiation. ABC Chemicals Limited was treated as an assessee-in-default under the Income-tax Act, 1961. The company credited a professional expense of 1,00,000 to a resident professional on 10 July 2025. The requisite TDS rate was 10%. ABC Chemicals Limited deducted the required tax on 20 January 2026 at the time of payment and deposited the tax on 22 March 2026.
